Terms of Service

Effective July 1, 2026

These Terms of Service ("Terms") govern access to and use of Ledgerage ("Ledgerage", "we", "us"), including the website at ledgerage.com, the web application, the API, and the Model Context Protocol (MCP) server (together, the "Service"). By creating an account, computing a lease, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. The Service

Ledgeragecomputes lease-accounting outputs — present value, right-of-use asset, lease liability, amortization schedule, journal entries, disclosures and operating-vs-finance classification — under the FASB ASC 842, IFRS 16 and GASB 87 standards. The Service is offered on a free tier with usage limits and a paid "Pro" subscription tier with expanded limits and additional features (including a saved lease portfolio, exports and higher API volume), described at ledgerage.com/pricing.

2. Informational results — not accounting, legal or tax advice

Results produced by the Service are informational only. They do not constitute accounting, audit, legal, or tax advice, and do not represent an audit opinion or a determination of the correct accounting treatment for your circumstances. The Service computes results from the inputs and assumptions you provide (such as the discount rate, term, and classification inputs); the outputs are only as correct as those inputs and the judgements behind them. You are solely responsible for reviewing every result, exercising independent professional judgement, and making your own accounting, reporting and business decisions, including whether to consult a qualified accountant or auditor. Ledgerage is a computational tool that assists your process; it is not your accountant and does not replace one.

3. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity that occurs under your account. Notify us promptly at hello@ledgerage.com if you suspect unauthorized use of your account or a compromised API key.

4. Subscriptions and billing

Paid plans are billed in advance on a monthly (or otherwise agreed) basis and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law. Usage beyond a plan's included monthly computation quota may be limited or billed at the applicable rate disclosed at ledgerage.com/pricing. We may change our prices with reasonable advance notice; continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable use

You agree not to:

  • Use the Service to violate any applicable law or regulation;
  • Attempt to circumvent rate limits, usage quotas, or authentication controls;
  • Resell or redistribute the Service or its outputs as a standalone competing product without our prior written consent;
  • Use automated means to access the Service outside the documented API;
  • Reverse engineer, or attempt to extract the underlying engine or source data other than through the features we provide.

6. API and MCP access

API keys and MCP credentials are issued per account and must not be shared across unrelated organizations or resold. Access is subject to the rate limits and monthly computation quotas of your plan. We may throttle, suspend, or revoke access that exceeds documented limits, appears automated in a way that degrades Service availability for other users, or otherwise violates these Terms.

7. Standards and accuracy

The engine applies the FASB ASC 842, IFRS 16 and GASB 87 standards and cites the paragraph behind each result. While we strive for accuracy and determinism, the standards involve judgement and your inputs drive the outputs; we do not warrant that a result is the correct accounting treatment for your specific facts. You remain responsible for the assumptions you enter and the conclusions you rely on.

8. Intellectual property

The Service, including its computation engine, software, and design, is owned by Ledgerage and protected by applicable intellectual property laws. The accounting standards referenced are the property of their respective standard-setters; our implementation, presentation and citations are our property. You retain ownership of the lease inputs and data you submit.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT RESULTS ARE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR CIRCUMSTANCES, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERAGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY RESULT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate access to the Service for violation of these Terms, non-payment, or conduct that risks harm to other users or the Service. You may stop using the Service and delete your account at any time via account settings or by contacting us.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the Service or by email to account holders. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
